DME Register maintains the share register and the general meeting of small Swiss stock corporations (AG) and limited liability companies (GmbH) — designed for companies with 3 to 20 shareholders. Maintained in accordance with the Swiss Code of Obligations, hosted in Switzerland, printed at the touch of a button as a document for the notary's office.

Why now
Since 2021, the share register is no longer an internal document.
Since 1 May 2021, inadequate maintenance of the share register has been expressly deemed an organisational defect within the meaning of Art. 731b para. 1 no. 3 CO. The court may grant a company with such a defect a deadline to remedy it — and dissolve it if it fails to do so.
On top of this comes the revision of stock corporation law of 1 January 2023: since then, the general meeting may be convened purely electronically (Art. 699a CO), the virtual general meeting without a physical venue is permitted (Art. 701d CO), and the thresholds for agenda item requests and for convening an extraordinary general meeting have been lowered to 5 percent of the share capital. Articles of association that were not adapted were allowed to continue under the old law until 1 January 2025 — this transitional period has expired. Many small companies have not yet made the adaptation and cannot hold a virtual general meeting today.

The status at a glance
A standing overview: Is the register complete? Have the articles of association been revised? On what basis is the GM being held? When were minutes last recorded?
In addition: the articles of association service — a paid service (not software) with the partner notary's office OBT AG and a fiduciary to adapt your articles of association to the revised law.
Limits
What DME Register is not built for.
- Not for listed companies. No securities settlement, no interface operation to SIX or a CSD.
- No funds and no collective assets. DME Register is a share register, not a fund register.
- No mode for the independent proxy. We do not serve companies operating under this regime.
- No substitute for the notary's office. Resolutions requiring a public deed — such as amendments to the articles of association and capital measures — still need the notary.
- No legal advice. The platform maps procedures; it does not assess your articles of association. That is what the articles of association service with the partner notary's office OBT AG is for.
Pricing
Per company and year. Published.
Prices are tiered according to the number of shareholders — from CHF 490.– per year for companies with 3 to 10 shareholders. The articles of association service is a separate, one-off service.
Security & data
Hosted in Switzerland.
Data centre in Switzerland, encrypted transmission and storage, role-based access model, processing compliant with the revFADP. At the end of the contract you receive the complete register as an export — it remains the property of your company.
